Speak2Action Terms of Service

1. Provider

Speak2Action is provided by:

In these Terms of Service, “Speak2Action”, “we”, “us”, and “our” refer to the provider listed above.

2. Scope and acceptance

These Terms of Service govern access to and use of Speak2Action, including the mobile application, related websites, and any associated services we provide.

By accessing or using Speak2Action, you agree to these Terms of Service.

If you use Speak2Action on behalf of a company, employer, or other organization, you represent that you are authorized to bind that organization to these Terms of Service.

3. Intended users

Speak2Action is intended for professional and business use by sales teams and related business users. Speak2Action is not intended for consumer use.

Speak2Action is not directed to children.

If mandatory law applies despite this intended business use, nothing in these Terms of Service limits rights or protections that cannot lawfully be excluded or limited.

4. What Speak2Action does

Speak2Action is a mobile-first post-meeting execution tool. Users can record a short spoken recap after a customer meeting or import an existing audio file, and Speak2Action helps transform that audio into structured outputs such as summaries, action items, CRM-ready context, and follow-up drafts for user review.

Speak2Action is not a note-taking app, not a general-purpose transcription archive, and not a substitute for professional legal, financial, compliance, or other regulated advice.

5. Accounts

You may need an account to use some or all features of Speak2Action.

You are responsible for:

  • providing accurate account information
  • keeping your login credentials confidential
  • all activity that occurs under your account, except to the extent caused by our breach of law or these Terms of Service

You must promptly notify us at support@speak2action.com if you believe your account has been compromised or used without authorization.

6. Business and beta status

Unless expressly agreed otherwise in writing, Speak2Action may be provided as an early-access, pilot, preview, beta, or evolving service. Features may change, be improved, be withdrawn, or be released gradually.

We may modify, suspend, or discontinue parts of the service where reasonably necessary for maintenance, security, legal compliance, or product development.

7. License and permitted use

Subject to these Terms of Service, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use Speak2Action for your internal business purposes.

The service is licensed, not sold.

You may not:

  • copy, reproduce, distribute, or resell the service except as expressly permitted by law
  • reverse engineer, decompile, disassemble, or attempt to derive source code, except where mandatory law expressly permits this despite a contractual restriction
  • interfere with the service, its security, or related infrastructure
  • use the service for unlawful, infringing, deceptive, abusive, or unauthorized purposes
  • use the service to build or train a competing product in a way that violates applicable law or our rights

8. User content and responsibility

You retain responsibility for the content you submit to Speak2Action, including audio recordings, imported audio files, account names, contact details, edits, and any follow-up material you review or export.

You represent and warrant that:

  • you have the rights and permissions necessary to submit that content to the service
  • your use of the service and your submitted content do not violate applicable law, confidentiality obligations, privacy rights, intellectual property rights, or contractual restrictions

You grant us a limited right to host, process, transmit, and use your content only as necessary to operate, secure, support, and improve Speak2Action in accordance with our Privacy Policy and any separate written agreements with you.

9. AI-generated outputs

Speak2Action may generate summaries, action items, CRM-ready context, and follow-up drafts based on user-provided recordings, imported audio files, and other input.

You acknowledge and agree that:

  • generated outputs may be incomplete, incorrect, or unsuitable in a specific context
  • generated outputs are intended as assistive drafts only
  • you remain responsible for reviewing, editing, approving, and deciding whether to rely on or send any generated output

You must not use Speak2Action in a way that would be inappropriate for an assistive drafting tool, including where human review is legally or operationally required.

10. Acceptable use

You may not use Speak2Action to:

  • violate any applicable law or regulation
  • infringe or misappropriate third-party rights
  • upload malicious code or attempt unauthorized access
  • harass, defame, threaten, or abuse others
  • process highly sensitive or regulated categories of data where the service is not intended or configured for such use
  • bypass usage limits, technical protections, or account restrictions

We may investigate misuse and may suspend or restrict access where reasonably necessary to protect the service, users, third parties, or legal compliance.

11. Third-party services and integrations

Speak2Action may depend on or interoperate with third-party infrastructure, devices, app stores, mail clients, storage providers, authentication providers, and AI or transcription providers.

Your use of such third-party services may be subject to separate terms and policies of those third parties.

You must comply with applicable third-party terms when using Speak2Action.

We are not responsible for third-party services except to the extent required by applicable law.

12. Privacy and data protection

Our processing of personal data is described in our Privacy Policy:

If we process personal data on behalf of a business customer under applicable data protection law, a data processing agreement or other written processing terms apply in addition to these terms. In the event of a conflict between these terms of service and that processing agreement, the processing agreement prevails to the extent it concerns the processing of personal data on behalf of the customer.

13. Fees and payment

If Speak2Action is made available on a paid basis, pricing, billing terms, trial terms, renewal terms, taxes, and any applicable refund terms will be stated at the point of purchase, in a separate order form, or in another written commercial agreement.

Unless required by applicable law or expressly agreed otherwise, fees paid for access to the service are non-refundable.

Nothing in these Terms of Service overrides any mandatory refund rights under applicable law.

14. Intellectual property

Speak2Action, including its software, interfaces, design, branding, documentation, and all related intellectual property rights, is owned by or licensed to SidemenAI.

Except for the limited rights expressly granted in these Terms of Service, no rights are transferred to you.

If you provide feedback, suggestions, or ideas about Speak2Action, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation, unless prohibited by applicable law.

15. Availability, updates, and support

We aim to provide Speak2Action with reasonable care and skill. However, availability may be affected by maintenance, security work, changes, outages, or dependencies on third-party infrastructure.

Where mandatory law on digital content or digital services applies, statutory rights regarding conformity, remedies, and updates that cannot lawfully be excluded or limited remain unaffected.

Unless expressly agreed otherwise, we are solely responsible for any maintenance and support we choose to provide for Speak2Action. Apple has no obligation to provide maintenance or support for the app.

16. Warranties and disclaimers

To the maximum extent permitted by applicable law, and except where mandatory law provides otherwise, Speak2Action is provided “as is” and “as available”.

We do not warrant that:

  • the service will be uninterrupted or error-free
  • the service will meet every user requirement
  • generated outputs will always be accurate, complete, or fit for a particular purpose

Nothing in these Terms of Service excludes warranties that cannot lawfully be excluded under applicable law.

17. Limitation of liability

Nothing in these Terms of Service excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law, including liability for:

  • fraud or fraudulent misrepresentation
  • willful misconduct or gross negligence where such limitation is not permitted
  • death or personal injury caused by negligence where such limitation is not permitted
  • rights or protections that cannot lawfully be excluded or limited under mandatory law

Subject to the above, to the maximum extent permitted by applicable law, we are not liable for:

  • indirect, incidental, special, consequential, or punitive damages
  • loss of profits, revenue, business, goodwill, anticipated savings, or opportunity
  • loss or corruption of data, except to the extent caused by our failure to apply reasonable security or care required by law
  • decisions, actions, or omissions taken by you in reliance on AI-generated output without appropriate human review

If applicable law permits a monetary cap, our aggregate liability arising out of or relating to Speak2Action will not exceed the greater of:

  • the total amount you paid us for the service in the 12 months preceding the event giving rise to the claim, or
  • EUR 100

This monetary cap does not apply to liability that cannot lawfully be excluded or limited under applicable law.

18. Apple-specific terms

If you download or use Speak2Action on an Apple device, the following apply in addition to the rest of these Terms of Service:

  • These terms are concluded between you and SidemenAI, not with Apple. SidemenAI, not Apple, is solely responsible for Speak2Action and its content.
  • The license granted to you is limited to a non-transferable right to use Speak2Action on Apple-branded products that you own or control, subject to the Apple Media Services Usage Rules.
  • Apple has no obligation whatsoever to furnish maintenance or support services for Speak2Action.
  • To the extent any warranty exists under applicable law and is not effectively disclaimed, SidemenAI, not Apple, is responsible for that warranty. If Speak2Action fails to conform to an applicable warranty, you may notify Apple, and Apple may refund any applicable purchase price paid for the app. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Speak2Action.
  • SidemenAI, not Apple, is responsible for addressing claims by you or any third party relating to Speak2Action, including product liability claims, claims that the app fails to conform to applicable law, and claims arising under consumer protection, privacy, or similar legislation.
  • In the event of any third-party claim that Speak2Action or your possession and use of Speak2Action infringes that third party’s intellectual property rights, SidemenAI, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of such claim.
  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo and are not listed on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms of Service and may enforce these Terms of Service against you as a third-party beneficiary.

19. Suspension and termination

We may suspend or terminate your access to Speak2Action, in whole or in part, if:

  • you materially or repeatedly breach these Terms of Service
  • continued access creates security, legal, or operational risk
  • we are required to do so by law
  • you fail to pay applicable fees where payment is due and remain in default after any required notice period

You may stop using Speak2Action at any time.

Termination does not affect rights and obligations that by their nature should survive termination, including provisions concerning intellectual property, liability, dispute resolution, and accrued payment obligations.

20. Changes to these terms

We may update these Terms of Service from time to time.

If we make a material change, we may provide notice by updating the date above, publishing the updated text, or notifying users through the service or by another reasonable method.

If you continue using Speak2Action after updated terms take effect, you agree to the updated terms, except where applicable law requires a different mechanism.

20a. Precedence of separate agreements

If a business customer and SidemenAI have entered into a separate written agreement — including a Data Processing Agreement (DPA), Pilot Agreement, Order Form, Master Services Agreement, or equivalent agreement — the provisions of that agreement prevail to the extent they conflict with these Terms of Service, in the following order:

  1. Order Form or Pilot Agreement
  2. Data Processing Agreement (DPA)
  3. Master Services Agreement or equivalent framework agreement
  4. These Terms of Service
  5. Additional policy documents referenced in any of the above

Absent such a separate agreement, only these Terms of Service apply.

21. Governing law and disputes

These Terms of Service are governed by Dutch law.

If you are acting in the course of a business or profession, the competent courts of Rotterdam, the Netherlands will have exclusive jurisdiction, unless mandatory law requires otherwise.

Nothing in this section deprives you of protection under mandatory laws or jurisdiction rules that cannot contractually be limited.
